Payment Terms and Conditions

1. Acceptance of Quotation

Acceptance of any quotation, proposal, purchase order confirmation, booking, or instruction to proceed shall constitute acceptance of these Payment Terms and Conditions.

2. Payment Terms

Unless otherwise agreed in writing:

  • Payment is due strictly in accordance with the payment terms stated on the quotation or invoice.
  • For all e learning training payments must be upfront (in advance)
  • Certain services, training interventions, products, materials, travel arrangements, or projects may require a deposit or full payment in advance.
  • Work may only commence once any required deposit has cleared into our nominated bank account.

3. Deposits

Where a deposit is required, the deposit secures the booking and allows us to commit resources, procure materials, make travel arrangements, appoint personnel, or incur other project-related expenses.

Deposits may be non-refundable to the extent that costs have already been reasonably incurred or committed, subject to applicable South African law.

4. Training and Course Bookings

Training dates are only regarded as confirmed once the required purchase order, written confirmation and/or payment has been received.

Certificates, statements of results, reports or other deliverables may be withheld until all amounts lawfully due in respect of the relevant services have been paid, subject to applicable accreditation, regulatory and contractual requirements.

5. Late Payment

Any account not paid by the due date shall be considered overdue.

We reserve the right, subject to applicable law, to:

  • Suspend further services or deliveries;
  • Place future work or bookings on hold;
  • Require advance payment for future services; and
  • Charge interest on overdue amounts at the maximum rate permitted by applicable law or at the rate stated in the applicable quotation or agreement.

6. Collection Costs

Should an overdue account be referred for collection or legal action, the client may be held responsible for reasonable collection and legal costs recoverable in terms of the agreement and applicable South African law.

7. Cancellations and Postponements

Cancellation or postponement of confirmed training, services or projects must be submitted in writing.

Where costs have already been incurred or resources have been committed, including travel, accommodation, materials, equipment, facilitators, subcontractors or mobilisation costs, the client may remain liable for such reasonable costs.

Any specific cancellation charges will be communicated in the applicable quotation, proposal or booking confirmation.

8. Purchase Orders

Where the client’s internal procedures require a purchase order, it remains the client’s responsibility to ensure that the purchase order is issued before services commence.

A delay in the client’s internal purchase order or approval process shall not automatically extend an agreed payment due date where the client has authorised us to proceed with the work.

9. Invoice Disputes

Any dispute relating to an invoice must be submitted to us in writing as soon as reasonably possible, together with sufficient information explaining the disputed amount.

The undisputed portion of an invoice remains payable by the applicable due date.

10. Taxes

All prices are exclusive of VAT unless expressly stated otherwise. VAT will be charged at the applicable statutory rate where required.

Any taxes, duties, levies, withholding taxes or similar charges applicable to international transactions will be dealt with in accordance with the applicable quotation, contract and legislation.

11. Payment Allocation

Payments received may be allocated against outstanding invoices in accordance with the applicable agreement and law. The client must provide the relevant invoice number or account reference when making payment.

12. Proof of Payment

Proof of payment should be forwarded to the email address indicated on the relevant quotation or invoice.

Proof of payment does not constitute cleared funds. Payment will only be regarded as received once the funds have cleared into our nominated bank account.

13. Payment Gateway Transactions

Where payment is made through an online payment gateway, the transaction may also be subject to the payment provider’s applicable terms and security procedures.

We do not store clients’ complete card details where payments are processed through an authorised third-party payment gateway.

14. Refunds

Approved refunds will be processed in accordance with the original payment method where reasonably possible and may be subject to verification, administrative requirements and any reasonable costs already incurred.

Nothing in these terms is intended to exclude or restrict any right that a client may have under applicable South African consumer protection legislation.

15. Changes to Payment Terms

We reserve the right to amend these Payment Terms and Conditions from time to time. The terms applicable to a transaction will generally be those communicated or published at the time the relevant quotation, booking or transaction is accepted, unless otherwise agreed in writing.

16. Governing Law

These Payment Terms and Conditions are governed by the laws of the Republic of South Africa.

By accepting a quotation, placing an order, making a booking, submitting a purchase order, making payment, or instructing us to proceed, the client acknowledges and accepts the applicable quotation together with these Payment Terms and Conditions.
